Addendum

The Applicant has requested that the period for accepting Growers into the Project for the year ended 30 June 2001 be extended from 31 May 2001 to 15 June 2001. The Applicant has confirmed that they will not accept applications into the Project unless all services that are to be provided to Growers by 30 June 2001 can be completed in the required timeframe.

At paragraph 14 delete the dot point:

Records of phone conversations and e-mails between the Australian Taxation Office and the Applicant.

and replace with:

•

Records of phone conversations and e-mails between the Australian Taxation Office and the Applicant;

At paragraph 14 add the following dot points under the above dot point:

•

Draft Supplementary Constitution of Queensland Paulownia Forests Ltd Project No. 5 dated 22 May 2001; and

•

Draft Supplementary Prospectus of Queensland Paulownia Forests Ltd Project No. 5 dated 22 May 2001.

At paragraphs 20, 38 and 40 delete:

and replace with:

15 June 2001

At paragraphs 20, 38 and 38 Note (i) delete:

1 June 2001

and replace with

16 June 2001
